These Terms of Service govern the use of services provided by OOYO Ltd. (“OOYO”, “we”, “us”, “our”). By submitting a booking request, subscribing to a service, or otherwise engaging our services, you (“Client”, “you”) agree to be legally bound by these Terms.
OOYO provides digital business services including but not limited to Google Business Profile optimization, social profile cleanup, website fixes, CRM setup, automation, analytics dashboards, call tracking, booking systems, and related consulting services.
All services are provided on a best-effort basis unless explicitly stated otherwise in writing.
OOYO does not guarantee specific outcomes including rankings, visibility, traffic, lead volume, revenue, or platform approvals.
Search engines, platforms, and third-party systems are outside our control. Results may vary based on competition, platform policies, market conditions, and client responsiveness.
By engaging OOYO, you represent that you have the authority to grant access to the business assets involved.
You authorize OOYO to access, manage, and modify digital business assets including but not limited to Google Business Profiles, websites, analytics, messaging platforms, and connected systems solely for the purpose of delivering the requested services.
You are responsible for providing accurate access credentials and approvals. Delays in access may delay service delivery timelines.
Fees are disclosed at the time of booking or subscription.
One-time services are billed upfront unless stated otherwise. Subscription services are billed on a recurring basis according to the selected plan.
Subscriptions may be canceled at any time unless a minimum commitment is stated at checkout. Cancellation takes effect at the end of the current billing cycle.
Refunds are not guaranteed and are reviewed on a case-by-case basis. Refunds may be denied once work has begun or access has been granted.
OOYO may integrate with third-party platforms including Google, Meta, Stripe, hosting providers, and analytics tools. OOYO is not responsible for outages, suspensions, or policy changes by third parties.
OOYO retains ownership of internal tools, workflows, templates, and methodologies. Clients retain rights to deliverables created specifically for their business upon full payment.
OOYO will not intentionally disclose confidential client information except as required to perform services or by law. A separate NDA may be required for certain engagements.
OOYO shall not be liable for delays or failure to perform resulting from events beyond its reasonable control, including but not limited to acts of God, internet outages, platform failures, labor disputes, governmental actions, or third-party service disruptions.
OOYO acts as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties.
To the maximum extent permitted by law, OOYO’s total liability shall not exceed the amount paid for the specific service giving rise to the claim.
You agree to indemnify and hold harmless OOYO from claims arising from unauthorized access, platform policy violations, or misrepresentation of authority.
OOYO may assign or transfer these Terms in connection with a merger, acquisition, or sale of assets. Clients may not assign these Terms without prior written consent.
If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
OOYO may terminate services for non-payment, abuse, illegal activity, or violation of these Terms. Outstanding fees remain due.
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.
Any legal action or proceeding arising out of or relating to these Terms of Service or the services provided by OOYO Ltd. shall be brought exclusively in the state or federal courts located in Clark County, Nevada. The parties consent to personal jurisdiction and venue in such courts and waive any objection based on inconvenient forum.
